B2BKOTSAF – GENERAL TERMS & CONDITIONS
Applicability
These Terms & Conditions apply to all quotations, offers, sales, deliveries, invoices, orders, and agreements concluded with KOTSAF BV, including orders placed through:
• Telephone
• Sales representatives
• Physical delivery visits
• Any other communication channel
By placing an order, the customer acknowledges and accepts these Terms & Conditions in full.
Business Customers Only
B2BKOTSAF exclusively supplies professional customers, including barbershops, salons, retailers, wholesalers, distributors, and commercial entities.
Orders
Orders submitted through the website, e-mail, WhatsApp, telephone, or directly to a sales representative are considered binding once confirmed by KOTSAF.
Orders cannot be cancelled after confirmation without written approval from KOTSAF.
Pricing
All prices are exclusive of VAT unless stated otherwise.
KOTSAF reserves the right to change prices without prior notice.
Payment Terms
Invoices are payable on the due date stated on the invoice.
Failure to pay on time automatically places the customer in default without prior notice.
Late Payment
For overdue invoices:
• Interest of 12% per year shall be charged automatically.
• A fixed administrative compensation fee of €114 shall be charged per overdue invoice.
• All collection and legal costs shall be borne by the customer.
KOTSAF reserves the right to suspend deliveries and block future orders until all outstanding amounts have been paid.
Retention of Ownership
All goods remain the exclusive property of KOTSAF until full payment of all invoices, interest, fees, and costs.
Delivery
Delivery dates are estimates only.
Delays do not entitle the customer to cancellation, compensation, or refusal of payment.
Risk Transfer
Risk transfers to the customer upon delivery of the goods.
Inspection of Goods
The customer must inspect goods immediately upon delivery.
Any complaint relating to:
• Quantity shortages
• Damaged products
• Incorrect deliveries
• Packaging issues
must be submitted in writing within 48 hours after delivery.
After this period, products shall be deemed accepted.
Returns
Returns are not accepted without prior written authorization from KOTSAF.
Non-Returnable Products
The following products cannot be returned:
• Opened products
• Used products
• Clearance products
• Custom orders
• Private Label products
• Special production orders
Private Label Orders
Private Label products are custom-manufactured.
Once approved, all orders are final and non-refundable.
Product Variations
Minor variations in color, fragrance, texture, packaging, labeling, printing, or batch appearance do not constitute defects.
Marketplace Sales
KOTSAF does not guarantee approval by Amazon, Bol.com, retail chains, distributors, or any marketplace.
Customer Responsibility
Customers are solely responsible for compliance with local laws, labeling requirements, registrations, and regulations applicable in their country.
Intellectual Property
All trademarks, images, product names, documents, designs, and marketing materials remain the exclusive property of KOTSAF.
Reverse Engineering
Customers may not copy, analyse, reproduce, replicate, or reverse engineer any KOTSAF products, formulas, packaging concepts, or business methods.
Limitation of Liability
KOTSAF's liability shall never exceed the value of the products supplied.
Exclusion of Damages
KOTSAF shall not be liable for:
• Loss of profit
• Loss of revenue
• Loss of customers
• Business interruption
• Reputational damage
• Third-party claims
• Indirect damages
• Consequential damages
Force Majeure
KOTSAF shall not be liable for delays or non-performance caused by events beyond its reasonable control.
Account Suspension
KOTSAF reserves the right to suspend, restrict, or terminate customer accounts without prior notice.
Right to Refuse Orders
KOTSAF reserves the right to refuse any order, quotation, customer account, or business relationship without providing justification.
Governing Law
All agreements are governed exclusively by Belgian law.
Jurisdiction
Any dispute shall be submitted exclusively to the competent courts of Belgium.
